Spirit Airlines

1992 - 2026

at 3 a.m. eastern on 2 may 2026 spirit stopped flying, and the last airplane in the yellow paint had already come down at dallas fort worth after midnight. thirty four years earlier it was a michigan charter operator running gamblers to atlantic city. in between it taught every large american carrier to unbundle the fare, then lost the market it had reshaped to two chapter 11 filings nine months apart and a fuel spike the base fare could not absorb.

~ the last words ~

Spirit Airlines started scheduled service on 1 June 1992, and the corporate paperwork underneath it is older than that. The company was incorporated in Michigan in 1964 as Clippert Trucking and renamed Ground Air Transfer in 1974. It only became an airline in 1983, when Ned Homfeld set up Charter One Airlines to run gamblers out to Atlantic City. The name Spirit arrived in May 1992, and the headquarters moved from Eastpointe to Florida at the end of 1999.

The airline people argued about did not appear until 2006. Indigo Partners put money in and Ben Baldanza moved up to chief executive. Spirit converted to the ultra-low-cost model Ryanair had already proven in Europe: strip the fare down to a seat and sell everything else separately. In 2010 it became the first American carrier to charge for a carry-on bag, and the reaction was loud enough that a senator introduced legislation about it.

It worked. By 2019 Spirit was carrying 34.5 million passengers on 145 airplanes, and by 2023 it was the seventh largest carrier in North America at 44.1 million. The complaining was constant and so was the booking.

The unbundled fare reached Turkey without Spirit's help. Pegasus has been selling the same arrangement out of Sabiha Gökçen for years, seat first and everything else itemized, and the Turkish argument about it sounds like the American one word for word. So the model is completely familiar to me and the airline is not. Spirit never flew anywhere near here.

~ the bare fare ~

Bare Fare was the product name and it described itself accurately. What Spirit sold was transportation between two airports for a body. A carry-on cost money, a checked bag cost money, a printed boarding pass at the counter cost money, and choosing your own seat cost money. The water was not free either.

The trade was real for anyone who could travel with a backpack. Spirit's base fares were routinely the lowest in the country, and the effect showed up in other airlines' pricing: when Spirit opened a route, fares on that route fell across every carrier serving it. The industry gave this a name, the Spirit Effect, while running marketing against the company that caused it. Spirit was the most complained-about brand in American aviation and the reason a lot of Americans could afford to fly at all.

~ two mergers that never closed ~

Frontier proposed buying Spirit in February 2022, which would have merged the two big ultra-low-cost carriers into something large enough to push back on the four legacy airlines. JetBlue broke it up in April with an unsolicited offer of $33 a share, raised to $33.50 in July. Spirit's shareholders rejected Frontier and took the cash.

The Department of Justice sued, and on 16 January 2024 a federal judge blocked the JetBlue deal on the grounds that deleting Spirit would raise fares for the most price-sensitive travelers in the country. The reasoning held up. The consequence was that Spirit stayed independent with the balance sheet it already had. In January 2025 it turned down a second Frontier approach worth $2.1 billion, and that was the last exit anyone offered.

~ the day the terminals went dark ~

Spirit filed for Chapter 11 on 18 November 2024, came out in the spring of 2025 with less debt, and filed again on 29 August 2025. Ted Christie was gone by then and Dave Davis had taken over in April. Then jet fuel jumped with the 2026 Iran war, which is the single input an ultra-low-cost carrier cannot quietly pass along, because the entire product is a promise about the number on the first screen.

Talks with the Trump administration over roughly $500 million in federal support went nowhere. Spirit stopped flying at 3 a.m. Eastern on 2 May 2026, after its last airplane landed at Dallas Fort Worth from Detroit sometime after midnight. Competitors capped fares to move the stranded: United absorbed about 14,000 Spirit passengers and Southwest more than 20,000. It was the first major American airline to go out of business for financial reasons in 25 years.
